2026 ANNUAL STOCKHOLDERS’ MEETING
Asia Pacific Medical Center – Iloilo, Inc. (the “Company”) respects and values your right to privacy and is committed to protecting your personal information in accordance with the Data Privacy Act of 2012 (Republic Act No. 10173), its Implementing Rules and Regulations, and other applicable issuances from the National Privacy Commission.
The Annual Stockholders’ Meeting (“ASM”) is a duly convened meeting of the stockholders of the Company, during which the stockholders are apprised of the Company’s operations and financial performance and are afforded the opportunity to exercise their rights to vote on matters included in the agenda, including the election of members of the Board of Directors.
In connection with your participation in the 2026 ASM, the Company has established an online registration and electronic voting portal to facilitate secure, efficient, and verifiable stockholder participation.
I. Personal Information Collected
In relation to your registration and participation in the ASM and use of the online voting portal, the Company may collect, process, store, and use the following personal and/or sensitive personal information:
- Full Name;
- Residential or Mailing Address;
- Email Address;
- Mobile or Landline Number; and
- Date of Birth.
II. Manner of Collection of Personal Information
The Company receives and collects personal information when a stockholder registers and submits the required information through the Company’s official online registration and electronic voting portal for the 2026 ASM.
III. Purpose and Necessity of Collecting Personal Information
The collection of personal information is necessary to enable the proper, secure, and verifiable registration of stockholders and their participation in the 2026 ASM through the Company’s online registration and electronic voting portal. Accordingly, the registration in the portal is required to:
- Verify the identity of stockholders;
- Confirm share ownership and determine voting eligibility;
- Facilitate secure access to the electronic voting system;
- Enable stockholders to cast their votes on agenda items, including the election of directors; and
- Ensure the accurate recording, tabulation, and validation of votes cast.
The collection of personal information is likewise necessary to facilitate remote participation in the ASM, thereby enhancing accessibility while preserving the integrity, security, and transparency of the voting process.
In addition, the Company may use the contact details provided by stockholders, including email addresses and mobile numbers, for the purpose of sending ASM-related communications, such as notices, instructions, confirmations, updates, reminders, and other information relevant to registration, participation, and the use of the online voting system.
Only information that is necessary and proportionate to these stated purposes is collected and processed by the Company.
IV. Disclosure and Sharing of Information
The Company recognizes the importance of protecting the privacy and confidentiality of personal information and implements appropriate organizational, physical, and technical security measures to safeguard such information against unauthorized access, use, or disclosure.
Access to personal information shall be limited to duly authorized personnel of the Company and its authorized service providers, who are bound by strict confidentiality obligations and who require such access for legitimate and lawful purposes in connection with the conduct of the ASM and the operation of the online registration and electronic voting system.
V. Data Protection Measures
The Company implements reasonable and appropriate organizational, physical, and technical security measures to protect personal information against unauthorized access, disclosure, alteration, loss, or destruction.
All collected personal information is stored in secure databases and systems with restricted access, limited only to duly authorized personnel and service providers who require such access for legitimate and lawful purposes.
VI. Data Retention
Personal information collected in connection with the registration for, and participation in, the ASM and the use of the online registration and electronic voting system shall be retained only for as long as necessary to fulfill the purposes for which it was collected.
Thereafter, and upon the lapse of the applicable retention period, such personal information shall be securely disposed of, deleted, or anonymized in accordance with applicable laws, regulations, and the Company’s data retention and disposal policies.
VII. Rights of the Data Subjects
The Company upholds the privacy rights of data subjects under the Data Privacy Act of 2012 to information, access, correction, deletion, damages, and data portability.
Consent and Acknowledgment
By using this platform and providing your personal data, you hereby voluntarily authorize Asia Pacific Medical Center – Iloilo, Inc. to collect, use, process, store, and disclose the information you have provided.
Personal data such as but not limited to your full name, address, date of birth, email address, and contact number shall be collected, used, processed, stored, and disclosed using electronic or automated means. This information will be retained for the period allowed under applicable laws, rules, and regulations and will be used solely for the purpose related to your registration and participation in the ASM online registration and voting system.
By proceeding, you acknowledge and consent to the collection and processing of your personal data as a requirement for access to and participation in the ASM online registration and voting system.
